These Terms and Conditions ("Terms") govern your access to and use of the websites, mobile applications, and services provided by Bhairav Labs (OPC) Private Limited ("Bhairav Labs", "Company", "we", "us", "our"), including the website bhairav.ltd and mobile applications such as Venmurasu. By accessing or using our services, you agree to be bound by these Terms. If you do not agree, do not use our services.

1. Acceptance of Terms

By creating an account, downloading our applications, accessing our website, or using any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy, which is incorporated herein by reference.

If you are using our services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms. You must be at least 13 years of age (or 16 in the EEA) to use our services. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

We reserve the right to modify, suspend, or discontinue any service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of services.

3. User Accounts and Registration

3.1 Account Creation

Some of our services require you to create an account. When registering, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Not share your account credentials with any third party
  • Notify us immediately of any unauthorized access or security breach

3.2 Account Responsibility

You are solely responsible for all activity that occurs under your account, whether or not authorized by you. Bhairav Labs is not liable for any loss or damage arising from unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.

5. Intellectual Property Rights

5.1 Our Intellectual Property

All content, features, and functionality of our services - including but not limited to text, graphics, logos, icons, images, audio, video, software, source code, algorithms, designs, and the overall look and feel - are owned by Bhairav Labs (OPC) Private Limited or its licensors and are protected by Indian and international copyright, trademark, patent, trade secret, and other intellectual property laws.

The Bhairav Labs name, logo, and all related product and service names, designs, and slogans are trademarks of Bhairav Labs. You may not use these marks without our prior written permission.

5.2 User Content

You retain ownership of any content you submit, post, or display through our services ("User Content"). By submitting User Content, you grant Bhairav Labs a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, distribute, and display such content in connection with operating and improving our services.

You represent and warrant that you own or have the necessary rights to submit User Content and that it does not violate any third-party rights.

5.3 Feedback

Any suggestions, ideas, enhancement requests, or other feedback you provide regarding our services shall be considered non-confidential and non-proprietary. We are free to use such feedback for any purpose without compensation or attribution to you.

6. Payment Terms

6.1 Pricing and Subscriptions

Certain services and features may require payment, including one-time purchases, subscriptions, and in-app purchases. All prices are displayed in the applicable currency and are inclusive of or exclusive of taxes as indicated at the time of purchase.

Subscription plans automatically renew at the end of each billing cycle unless cancelled before the renewal date. You may cancel your subscription at any time through the applicable app store or platform settings.

6.2 In-App Purchases

In-app purchases made through the Apple App Store or Google Play Store are subject to the respective store's terms and conditions. Payment processing for in-app purchases is handled entirely by Apple or Google, as applicable.

6.3 Payment Processing

For purchases made directly through our platforms (outside of app stores), payment is processed by third-party payment processors including Razorpay and Stripe. By making a purchase, you agree to the payment processor's terms of service. We do not store your complete payment credentials.

6.4 Refunds

  • App Store purchases: Refunds for purchases made through the Apple App Store are handled by Apple in accordance with their refund policy. To request a refund, visit reportaproblem.apple.com
  • Google Play purchases: Refunds for purchases made through Google Play are handled by Google in accordance with their refund policy. You may request a refund through the Google Play Store
  • Direct purchases: For purchases made directly through our platforms, refund requests must be submitted within 7 days of purchase by contacting contact@bhairav.ltd. Refunds are evaluated on a case-by-case basis. Digital content that has been accessed or downloaded may not be eligible for a refund

6.5 Taxes

You are responsible for any applicable taxes (including GST) associated with your purchases, except where we are required to collect them. We will collect and remit taxes where legally required.

7. Third-Party Services

Our services may contain links to, integrate with, or rely upon third-party websites, applications, and services ("Third-Party Services"). These include but are not limited to:

Third-Party Services are governed by their own terms and privacy policies. Bhairav Labs does not control, endorse, or assume responsibility for any Third-Party Services. Your use of Third-Party Services is at your own risk.

8. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

You acknowledge that you use our services at your sole risk. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BHAIRAV LABS (OPC) PRIVATE LIMITED, ITS DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF BHAIRAV LABS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In no event shall our total aggregate liability to you for all claims arising out of or relating to these Terms or your use of our services exceed the greater of (a) the amount you paid to us in the twelve (12) months preceding the claim, or (b) INR 5,000 (Indian Rupees Five Thousand).

10. Indemnification

You agree to indemnify, defend, and hold harmless Bhairav Labs (OPC) Private Limited, its officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

11. Termination

11.1 Termination by You

You may stop using our services and delete your account at any time. For subscription services, cancellation takes effect at the end of the current billing period. You will not receive a refund for the remaining portion of any prepaid subscription period unless required by applicable law or app store policies.

11.2 Termination by Us

We may suspend or terminate your access to our services, in whole or in part, at any time and for any reason, including but not limited to:

  • Violation of these Terms or our Acceptable Use Policy
  • Conduct that we determine is harmful to other users, us, or third parties
  • Extended periods of inactivity
  • Requests by law enforcement or government agencies
  • Discontinuation or material modification of services

11.3 Effect of Termination

Upon termination, your right to use our services ceases immediately. We may delete your account data in accordance with our Privacy Policy. Sections that by their nature should survive termination will survive, including intellectual property rights, disclaimers, limitation of liability, indemnification, and governing law provisions.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of law provisions.

Subject to the arbitration provisions in Section 13, any disputes arising out of or relating to these Terms or your use of our services shall be subject to the exclusive jurisdiction of the courts located in Chennai, Tamil Nadu, India.

You irrevocably consent to the personal jurisdiction and venue of such courts and waive any objection based on inconvenient forum.

13. Dispute Resolution

13.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact us at contact@bhairav.ltd and attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days of receiving your notice.

13.2 Arbitration

If the dispute cannot be resolved informally, it shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended from time to time). The arbitration shall be conducted as follows:

  • The seat and venue of arbitration shall be Chennai, Tamil Nadu, India
  • The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties. If the parties cannot agree on an arbitrator within 30 days, either party may apply to the appropriate court in Chennai for appointment
  • The language of arbitration shall be English
  • The arbitrator's award shall be final and binding on both parties
  • Each party shall bear its own costs of arbitration unless the arbitrator determines otherwise

13.3 Class Action Waiver

To the extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

14. Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes:

15. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision. The remaining provisions shall continue in full force and effect.
